Who can consult the minute book?

Under the Canada Business Corporations Act, the creditors as well as the shareholders of the business corporation, their personal representatives, as well as the director of Corporations-Canada can consult the books of the business corporation concerned by such law.

Under the Quebec Business Corporations Act, the shareholders can consult the books of the business corporation described in such law, including the securities register while the creditors can only consult the unanimous shareholder agreement, if there is one.

Consultation of the minutes of proceedings of the meetings of directors as well as consultation of the accounting books are strictly forbidden for the shareholders and the creditors of the business corporation.
