What changes need to be recorded in the minutes book?

The minutes book contains the main registers, resolutions, minutes and other corporate documents that allow us to trace the organization and legal evolution of the company.

It must be updated when a change occurs or a decision requires the preparation or modification of a corporate document.

Depending on the circumstances, the documentation kept in the book may need to be updated, particularly during:

  • of the appointment, resignation, disqualification, removal or replacement of an administrator;
  • of the appointment, resignation, dismissal or replacement of a manager;
  • of the issuance, transfer, repurchase, purchase or cancellation of shares;
  • of the declaration of a dividend;
  • of an amendment to the statutes;
  • of a change of company name;
  • of a change concerning the company's headquarters;
  • of the adoption of annual resolutions;
  • of any other decision of the shareholders or directors that must be documented.
Simplify the management of your corporation with our online services.

The nature of the update depends on the event. Some changes require the adoption of a resolution, others the modification of a corporate register, the filing of a document with a government authority, or several of these formalities.

It is therefore preferable to update the documentation at the time the change occurs rather than waiting for the annual update of the book.

In summary , significant changes concerning the organization, directors, officers, shareholders, actions, or decisions of the company must be properly documented. The minute book allows for the compilation of this documentation and the preservation of the company's corporate history.
