Updating the company’s minutes register involves recording in writing all decisions made by the board of directors or the shareholders since the company’s last update; this update will cover either annual meetings, the issuance or transfer of shares, the declaration of dividends or bonuses, or changes to the company’s structure.
In Quebec, the law provides that a person who requests the list of shareholders of a provincially incorporated corporation may, upon request and upon payment of a reasonable fee, obtain a copy of the daily update to that list, including any changes that have been made to it. Furthermore, upon request, the corporation must include on the list or on an update to that list the names and addresses of known holders of an option right or a right of acquisition relating to shares of the corporation.
