What happens if all the administrators resign?

If all directors resign and their resignations take effect without replacements being made, the company may find itself without a board of directors. This situation generally needs to be rectified so that the company can continue to be managed in accordance with its applicable rules.

The procedure depends in particular on the law under which the company was incorporated, its articles of association, and the circumstances. When the company no longer has a director, the shareholders may be called upon to elect new directors in accordance with the applicable rules.

In certain circumstances, shareholders could also enter into a unanimous shareholders' agreement to withdraw the powers of the board of directors and to exercise the powers thus transferred to them themselves, subject to the conditions and rules provided for by applicable law.

However, it is important to verify the situation before concluding that the company is indeed without a director. The effective date of resignations and the rules applicable to the end of a director's term can affect the board's composition.

Once the new directors are in office, their election or appointment should be documented in the minutes book and the register of directors. The required filings with government authorities and, where necessary, the relevant regulatory authorities should also be updated.

Where possible, it is best to coordinate the departure and the election or appointment of new directors to avoid a period in which the company is without a board of directors.

In summary , if all directors leave their positions without being replaced, it is necessary to quickly determine, according to the applicable rules, how to reconstitute the board of directors or, where the law allows, to put in place a unanimous shareholders' agreement transferring the powers of the board to them, and to update the company's corporate documentation.
