Can an administrator participate in a remote meeting?

Yes. Directors can generally participate in a board meeting using technological means, such as videoconferencing or teleconferencing, when the conditions laid down by law are met.

Depending on the law under which the company was incorporated, certain requirements may apply regarding the means of communication used and the ability of participants to communicate with each other. The company's articles of association and bylaws should also be reviewed.

When a director validly participates in a remote meeting, their participation generally has the same effect as if they were present in person. They can therefore participate in the deliberations and vote on the decisions submitted to the board, subject to the applicable rules.

The minutes of the meeting should list the directors who attended, including those who attended remotely, and be kept in the company's minutes book.

In summary , a director can generally participate in a board meeting remotely. However, the conditions stipulated by law must be respected, as well as, where applicable, the rules set out in the company's documents.
