What to do to ensure the respect of Regulation 45-106?

In Quebec, at the time of issuance or transfer of shares or other securities, the business corporation must make sure to respect the conditions inherent to the preservation of its status of private issuer. To do so, certain exemptions of registration and prospectus are accessible to it, each transaction must be the subject of verification for that purpose.

National Instrument 45-106 regarding prospectus and registration exemptions, adopted by the Canadian Securities Administrators, is in application in all the jurisdictions in Canada since September 14th, 2005, it applies to all the business corporations of federal jurisdiction and it must also be verified at the time of issuance or transfer of shares.
