• The unanimous shareholder agreement is an agreement between all the shareholders of a single corporation to restrict or withdraw the powers normally reserved to the directors.
• Under the terms of the unanimous shareholder agreement, the powers of the directors may be completely withdrawn or restricted in one of the following ways:
  • the imposition on directors of a special majority for decision-making;
  • ratification of their decisions by the shareholders; or
  • complete withdrawal of the directors' powers, transferring them to the shareholders.
• The signing of a unanimous shareholder agreement can be very useful when certain shareholders of a company hold a much larger share than the others. The signing of such an agreement allows corporate decisions to be made by a specific majority of the votes held by the shareholders, rather than by a majority of the directors in office.
