The business corporation must file certain documents in order to dissolve with the authorities of the jurisdiction under which it was constituted (being incorporated as for the federal jurisdiction), mainly at the Québec enterprise registrar for the business corporations under the jurisdiction of Quebec and at Corporations Canada for the business corporations under the jurisdiction of Canada.
In Quebec, the business corporation must file a declaration of dissolution with the enterprise registrar and attach to it a certified copy of the resolution by which the shareholders, or as the case may be, the directors gave their consent to the dissolution. The business corporation ceases to exist on the date appearing on the certificate of dissolution which is delivered to it.
In Canada, the business corporation must send articles of dissolution to the director of Corporations-Canada who, upon receiving such articles of dissolution, deliver a certificate of dissolution. The business corporation ceases to exist on the date appearing on the certificate of dissolution which is delivered to it.
