Both in Canada and in Quebec, the number of directors can vary according to what is provided in the articles of constitution (called the articles of incorporation in the federal jurisdiction) or the by-laws. The elected directors form the board of directors.
However, the Quebec Business Corporations Act allows, when certain conditions are met, that a sole shareholder of a business corporation does not elect directors.
