How does the decision-making process of the directors take place?

Both in Canada and in Quebec, the decisions of the directors are taken by means of resolutions adopted during the meetings of the board of directors, hence the importance of convening them by following the prescribed by-laws. On the other hand, a resolution in writing signed by all the directors has the same effect, even if there was no meeting.
