Can the directors delegate their powers?

In Quebec, the directors can delegate certain of their powers to a director, an officer or one or several committees of the board. However, only the acts of current administration can be delegated. In Canada, the directors can delegate certain of their powers to a managing director, chosen from their number, who must be a Canadian resident or to a committee of the board of directors.
