Can one become a shareholder without being a director?

Yes. It is possible to become a shareholder in a corporation without being a director. The roles of shareholder and director are distinct and entail different rights, powers, and responsibilities.

The shareholder holds shares in the company. Depending on the rights attached to the class of shares he holds, he may in particular exercise a right to vote, receive the declared dividends, share in the remainder of the company's assets (residual assets) in certain circumstances and benefit from any capital gain on his investment.
