What is a confidentiality commitment?

Both in Canada and in Quebec, the confidentiality commitment is an act by which a person makes a commitment not to disclose the information of confidential nature to which he has access, in particular within the framework of his work or during the study of a business opportunity.

The confidentiality commitment can also be provided in an employment contract or be signed by the employee separately or be specific for certain sensitive information.

In Quebec, the Civil Code of Quebec states that "the employee [?] must act with loyalty and not make use of the confidential information which he obtains in the performance or on the occasion of his work. These obligations survive during a reasonable period of time after the termination of the contract, and survive at all times when the information refers to the reputation and to the private life of others.?
