Incorporation of a business corporation
- This service may be used to incorporate a Canadian corporation with its head office in Quebec, using a numerical designation, whose shares are not offered to the public.
- The corporation may be identified by either a numerical designation or a corporate name. The latter must comply with applicable rules and laws, and must also be subject to a prior search to ensure that it is not already in use or confusing with another name or an existing trade-mark . In either case, the corporation may also use an assumed name to identify itself.
- An option is available in this service to obtain a specific corporate name for a corporation from Corporation Canada. This option ensures that the name chosen is not already used by another entity, but is limited to a direct comparison of existing names.
- Remember that a corporation can be jurisdiction federal or provincial, depending on the type of activity it intends to carry out, the territory it intends to serve, or the specific requirements of the corporate laws of each level of government. It's up to you to choose the jurisdiction that best applies to your business activities.
- Operating a business under the legal form of a corporation offers the advantage of having your own assets, separate from those of the shareholders or directors. In addition, shareholders' financial liability is limited to their investment in the corporation.

- The Canada Business Corporations Act stipulates that the Board of Directors must be composed of at least 25% "resident Canadians", and if the company has fewer than 4 directors, at least 1 of them or the sole director must be a Canadian resident.
