The Board of Directors manages the business and affairs of the corporation and exercises all the powers necessary for that purpose; it can create management positions and other bodies, as well as delegate to holders of such positions and bodies the means to exercise certain powers.
It adopts and enforces the by-laws of the corporation, except that it must have them approved and confirmed by the shareholders at a subsequent shareholders meeting.
