Who must sign the confidentiality commitment?

In the context of transactions related to the purchase or sale of a business, the confidentiality agreement (the “Agreement”) applies to a commercial confidentiality agreement, regardless of whether this Agreement is unilateral or bilateral, must be signed by both the discloser and the recipient of the confidential information, since each of them has either rights to exercise or obligations to fulfill under the signed Agreement.

In an employment contract or in connection with employment or services rendered by a self-employed individual, the confidentiality agreement is signed by the employee or self-employed individual for the benefit of the employer.
