How is taken the vote during an annual meeting of a business corporation?

Both in Canada and in Quebec, unless otherwise provided in the by-laws, during an annual meeting of a business corporation, the vote is conducted by a show of hands or, at the request of any shareholder or proxy holder entitled to vote, by secret ballot. The vote by secret ballot can be asked either before or after a vote by a show of hands.

Both in Canada and in Quebec, a resolution in writing, signed by the sole shareholder of the business corporation or by all the shareholders entitled to vote on this resolution, has the same significance as if it had been adopted during a meeting.
