Both in Canada and in Quebec, the main qualifications required to be a director of a business corporation are the following ones: be a natural person (a business corporation cannot be a director), not be an undischarged bankrupt, be able of exercising his civil rights and be a person of full age. Moreover, in Quebec, the Civil Code of Quebec provides that a person who has been found guilty of a criminal act by a court cannot be a director.
Furthermore, in the federal jurisdiction, the board of directors must be composed of at least 25% of Canadian residents.
